5. Customer Data
5.1 As between the parties, Customer owns all Customer Data. 5.2 Acme will process Customer Data solely to provide the Services. 5.3 Usage Data. Acme may use de-identified Customer Content to develop and improve its products, including machine-learning models.^AI-01

8. Security
8.1 Acme maintains commercially reasonable safeguards. 8.4 Security Breach. Acme will notify Customer without undue delay after confirming a Security Breach affecting Customer Data.^SEC-03

9. Term and Termination
9.3 Within thirty (30) days after termination, Acme will return and then securely delete Customer Data and certify deletion in writing.^FERPA-05

11. Limitation of Liability
11.2 In no event shall either party's aggregate liability exceed the fees paid in the twelve (12) months preceding the claim.^COM-02

Key Richard has spent more than 14 years in information technology and serves as Chief Information Officer for two private colleges at once through a shared-services model. Richard oversees IT governance, cybersecurity, infrastructure, and service delivery across both campuses, manages a combined technology budget of more than $2 million, and leads their student information system and ERP migrations and GLBA compliance work.

Richard's higher education career began on the front line as a desktop technician at Grambling State University and grew into desktop management and then executive IT leadership. Along the way came a steady stream of vendor agreements with FERPA gaps, auto-renewals, and one-sided terms, reviewed by hand on tight deadlines.
